1. Acceptance of Terms

By accessing and using BeSeat's booking management services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use our Service. These Terms apply to all users, including businesses, customers making bookings, and visitors to our website.

BeSeat is operated by BeSeat ("we", "us", "our"), a UK-based company. By using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Service Description

BeSeat provides a comprehensive online booking and reservation management platform designed for service-based businesses across multiple industries, including but not limited to:

  • Restaurants, bars, and hospitality venues
  • Hair salons, beauty centers, and spas
  • Dental clinics, eye clinics, and medical practices
  • Fitness studios, coaching services, and wellness centers
  • Pet grooming, auto service, and other service businesses

Our Service includes:

  • Online booking widget and iframe integration for websites
  • Direct booking links and QR codes
  • Booking item management (tables, rooms, services, or appointments)
  • Business hours and exception date configuration
  • Automated email reminders and confirmations
  • Customer database and booking history
  • Staff role management and user permissions
  • Mobile applications for iOS and Android
  • Analytics and reporting tools
  • Payment processing integration (where applicable)

3. User Accounts and Registration

To use BeSeat as a business owner or administrator, you must:

  • Be at least 18 years of age or have the legal capacity to enter into contracts
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Promptly notify us of any unauthorized access or security breaches

You are responsible for all activities that occur under your account, whether authorized by you or not. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription Plans and Pricing

BeSeat offers the following subscription plans:

  • Free Plan: Available forever with essential features, including up to 50 bookings per month and up to 10 booking items (tables, rooms, or services). No credit card required.
  • Pro Plan: £29.90 per month, including up to 500 bookings per month, up to 80 booking items, advanced features, and standard support.
  • Premium Plan: £89.90 per month, including unlimited bookings, unlimited booking items, all features, and priority support.

Important:

  • We do not charge commission fees on your bookings. You keep 100% of your revenue.
  • All subscription fees are billed in advance on a monthly basis.
  • Prices are in British Pounds (GBP) and may be subject to applicable taxes.
  • We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.
  • Free plan users are not subject to price changes.

5. Payment Terms

For paid subscription plans:

  • Payments are processed securely through Stripe, our third-party payment processor.
  • By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis.
  • Subscription fees are non-refundable except where required by law or at our sole discretion.
  • If payment fails, we will attempt to retry the payment. Your subscription may be suspended if payment cannot be processed.
  • You can upgrade, downgrade, or cancel your subscription at any time from your account settings.
  • Downgrades take effect at the end of your current billing period. Upgrades take effect immediately, and charges will be prorated.
  • Upon cancellation, you retain access to paid features until the end of your billing period.
  • Delinquent accounts may be suspended or terminated after reasonable notice.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purposes
  • Violate any applicable laws, regulations, or third-party rights
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service, accounts, or systems
  • Share, transfer, or sell your account credentials to others
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Transmit any viruses, malware, or harmful code
  • Collect or harvest information about other users without their consent
  • Impersonate any person or entity or misrepresent your affiliation with any entity
  • Use the Service to send spam, unsolicited messages, or harass others

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

7. Customer Bookings and Data

When customers make bookings through your BeSeat account:

  • You are responsible for managing and fulfilling all bookings made through the Service.
  • You must provide accurate information about your business, services, availability, and pricing.
  • You are responsible for maintaining appropriate business hours and availability settings.
  • You must honor bookings made through the Service unless legally justified to cancel.
  • You are responsible for complying with all applicable consumer protection laws and regulations.
  • Customer data collected through bookings belongs to you, but you must comply with data protection laws (including GDPR) when handling this data.

BeSeat acts as a service provider and is not a party to any booking agreement between you and your customers. Any disputes regarding bookings must be resolved directly between you and your customers.

8. Data Protection and Privacy

Your use of BeSeat is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, store, and protect your data and the data of your customers.

As a data controller for your customer data, you are responsible for:

  • Complying with applicable data protection laws, including GDPR
  • Obtaining necessary consents from customers for data collection and processing
  • Handling customer data requests (access, deletion, correction) in accordance with applicable laws
  • Implementing appropriate security measures for your account and data

9. Intellectual Property

Your Content: You retain ownership of all data, content, and information you submit to BeSeat ("Your Content"). By using our Service, you grant BeSeat a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving our Service.

BeSeat's Property: The Service, including all software, designs, text, graphics, logos, and other content, is owned by BeSeat or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

Trademarks: "BeSeat" and related logos are trademarks of BeSeat. You may not use our trademarks without our prior written consent.

10. Service Availability and Modifications

We strive to provide reliable and continuous service, but we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

  • Scheduled maintenance and updates
  • Unforeseen technical issues or outages
  • Force majeure events beyond our control

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Add, remove, or modify features and functionality
  • Impose usage limits or restrictions

We will provide reasonable notice of material changes that may affect your use of the Service.

11. Limitation of Liability

To the maximum extent permitted by law:

  • BeSeat provides the Service "as is" and "as available" without warranties of any kind, either express or implied.
  • We do not guarantee that the Service will be error-free, uninterrupted, or secure.
  • BeSeat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
  • We are not responsible for any losses or damages resulting from bookings, cancellations, or disputes between you and your customers.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BeSeat, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any bookings or transactions between you and your customers; or (e) your failure to comply with applicable laws or regulations.

13. Termination

By You: You may terminate your account at any time by canceling your subscription in your account settings or by contacting us. Cancellation takes effect at the end of your current billing period for paid plans.

By Us: We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, abusive, or illegal activities
  • Your account remains inactive for an extended period
  • You fail to pay subscription fees when due
  • We are required to do so by law

Effect of Termination:

  • Upon termination, your access to the Service will cease immediately (for free accounts) or at the end of your billing period (for paid accounts).
  • Your data will be retained for 30 days after termination and will be available for export during this period.
  • After 30 days, your data may be permanently deleted, and we are under no obligation to retain it.
  • You are responsible for exporting your data before termination if needed.
  • Provisions of these Terms that by their nature should survive termination will remain in effect.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in your country of residence.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

  • Email notification to the address associated with your account
  • Notice on our website or within the Service
  • In-app notifications

Continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account. The "Last updated" date at the top of this page indicates when these Terms were last revised.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the intent of the original provision.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeSeat regarding the Service and supersede all prior agreements, understandings, or communications, whether written or oral.
