BeSeat Terms & Conditions

1. Scope

These Terms & Conditions ("Terms") govern the use of BeSeat's online restaurant reservation and management platform ("Services") provided by DropCode Software Ltd ("BeSeat", "we", "us"). By accessing or using our Services, you agree to be bound by these Terms. Additional terms may apply to certain features or services.

2. Eligibility & Registration

• Only individuals or businesses with full legal capacity may register and use BeSeat's Services.
• To use our Services, you must create an account with accurate, complete, and up-to-date information.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You agree not to allow unauthorized third parties to access your account.

3. Services & Features

• BeSeat provides online reservation management, table management, analytics, and related SaaS features for restaurants.
• Service details, modules, and payment terms are described in your service agreement or on our website.
• We grant you a non-exclusive, non-transferable right to use the platform for your own business purposes, subject to these Terms.
• We reserve the right to update, modify, or discontinue features at any time.

4. User Content & Listings

• You are responsible for the accuracy and legality of all information, content, and listings you provide or publish via BeSeat.
• You must promptly update or correct any information that becomes inaccurate or misleading.
• We reserve the right to remove or correct any content that violates these Terms or applicable law.

5. Fees, Payment & Billing

• All fees are stated exclusive of VAT or applicable taxes.
• Invoices are issued electronically and are payable in advance unless otherwise agreed.
• Failure to pay may result in suspension or termination of your access to the Services.
• Payment methods and terms are specified in your service agreement or during registration.

6. Intellectual Property

• All rights to the BeSeat brand, software, content, and platform remain with DropCode Software Ltd or its licensors.
• You may not copy, modify, distribute, or create derivative works from our platform or content without our written consent.
• You retain rights to your own business data and content, but grant us a license to use it for providing the Services.

7. Data Protection & Privacy

We process your personal data in accordance with our Privacy Policy. By using our Services, you consent to such processing and warrant that all data provided by you is accurate.

8. Limitation of Liability

• BeSeat is provided "as is" and we make no warranties regarding the accuracy, reliability, or availability of the Services.
• We are not liable for any indirect, incidental, or consequential damages, including lost profits or data.
• Our total liability is limited to the amount paid by you for the Services in the 12 months preceding the claim.
• Nothing in these Terms limits liability for death, personal injury, fraud, or gross negligence where such limitation is not permitted by law.

9. Term, Termination & Suspension

• The contract term and renewal are specified in your service agreement or during registration.
• Either party may terminate the contract with written notice, subject to any agreed notice periods.
• We may suspend or terminate your access for breach of these Terms, non-payment, or unlawful activity.
• Upon termination, your right to use the Services ceases and we may delete your data after a retention period.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be notified to you via email or our platform at least 30 days in advance. Continued use of the Services after changes become effective constitutes acceptance of the new Terms.

11. Governing Law & Jurisdiction

• These Terms are governed by the laws of England and Wales.
• Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
